Overview
We are seeking a junior career associate to join our Fund Formation practice in the office listed above. This is a career associate position - a long-term, non-partnership-track role designed for attorneys who value high-quality transactional work, mentorship, work-life balance, and a defined professional path within a leading global law firm. The associate will work closely with partners and senior associates on fund formation matters, including drafting and reviewing limited partnership agreements, private placement memoranda, subscription documents, and side letters, with exposure to both sponsor-side and investor-side representations. Preferred Office Location: Wheeling, WV (with remote working available from the Pittsburgh, PA area).

We primarily advise venture capital, growth equity, impact, and crossover fund managers - from established platforms to first-time emerging managers - on fund formation, regulatory compliance, secondary transactions, co-investment vehicles, and capital deployment across the innovation ecosystem. We also represent governmental pension plans, insurance companies, sovereign wealth funds, and other institutional limited partners in their fund commitments and co-investment activity. Responsibilities
Prior transactional legal experience through law school clinics, internships, clerkships, or early associate work is preferred. Coursework or interest in securities regulation, investment management, corporate law, or partnership taxation will distinguish top candidates. We are especially interested in candidates motivated by the career associate model: attorneys who seek sophisticated legal work in a collegial environment with a sustainable pace and long-term professional stability.
Qualifications
Candidates must possess a J.D. from an accredited law school and have 1-2 years of experience. Active bar membership (or eligibility for prompt admission) in West Virginia or Pennsylvania is required. Strong academic credentials, excellent written and verbal communication skills, attention to detail, and a genuine interest in a long-term career in private fund formation are essential.

Compensation and Benefits
The expected salary range for this position is between $130,000 and $160,000.
Orrick is committed to providing a comprehensive, competitive, and thoughtful total compensation package to our attorneys and staff, wherever they work. This compensation and benefits information is based on the Orrick's estimate as of the date of publication and may be modified in the future. The level of pay within the range will depend on a variety of job‑related factors that may include, but not limited to, qualifications, relevant experience or education, particular skills or expertise, geography. Other compensation may include an annual discretionary merit bonus, which would be determined by Firm and individual performance.
