The Role
Reporting to the General Counsel, the Corporate Counsel will handle a broad range of corporate and commercial matters.
Key Responsibilities:
Draft, review, and negotiate commercial contracts, NDAs, and vendor agreements.
Advise internal clients on corporate governance, risk management, and regulatory issues.
Support M&A, joint-venture, and financing activities.
Coordinate with outside counsel on litigation, IP, and employment matters.
Contribute to policy development, compliance training, and process improvement.
Qualifications
J.D. and admission to at least one U.S. state bar (preferably NY or CT).
4-8 years of experience in corporate or commercial practice at a law firm or in-house.
Strong contract-drafting and negotiation skills.
Business-minded and comfortable communicating with executives and non-lawyers.
