Job description
Our client is a premier AmLaw 100 firm whose San Francisco office serves as a hub for technology sector M&A, venture capital, and private equity transactions. The corporate practice group has advised on over $20 billion in deal value in the past two years, including landmark acquisitions by leading AI infrastructure and enterprise software companies.
The incoming Corporate M&A Associate or Counsel will work on the full spectrum of deal activity — including buy-side and sell-side M&A, leveraged buyouts, minority investments, and Series B through pre-IPO financings. You will draft and negotiate purchase agreements, disclosure schedules, and ancillary transaction documents, and interface with clients, counterparties, and investment bankers throughout deal execution.

Requirements
JD from an ABA-accredited law school; California bar admission required
3–7 years of corporate transactional experience at a large law firm or top-tier boutique
Demonstrated experience drafting and negotiating M&A transaction documents
Exposure to venture capital or private equity deal structures preferred
Strong analytical ability and exceptional written and verbal communication skills
