Corporate Mid-Level Transactional Attorney
Location: Roseland, NJ

Compensation: $205,000–$235,000 Base Salary + Bonuses
About the Opportunity
A well-established law firm is seeking an experienced Corporate Mid-Level Transactional Attorney to join its Corporate Practice Group in Roseland, New Jersey.
This is an opportunity for a transactional attorney with substantial experience handling sophisticated corporate matters, including M&A, joint ventures, real estate joint ventures, and equity and debt financing transactions .
The ideal candidate will be comfortable taking ownership of transactions, working directly with clients and counterparties, and drafting and negotiating complex corporate and commercial agreements.
Key Responsibilities
Manage and lead a broad range of sophisticated corporate and transactional matters.
Handle mergers and acquisitions , including both buy-side and sell-side transactions.
Structure and negotiate joint ventures , including complex real estate joint ventures.
Advise clients on equity and debt financing transactions .
Draft, review, and negotiate:
Merger and acquisition agreements
Stock purchase agreements
Asset purchase agreements
Operating agreements
Shareholder agreements
Joint venture agreements
Financing documents
Commercial and other transactional agreements
Conduct and oversee transaction due diligence.
Identify and address legal and business risks associated with transactions.
Work closely with clients, opposing counsel, financial advisors, and other professional advisors.
Manage transaction timelines and coordinate multiple parties through closing.
Provide practical, business-oriented legal advice to clients.
Develop and maintain strong client relationships.
Contribute to the continued growth of the corporate practice through client development and relationship building.
Ideal Candidate
6+ years of corporate transactional experience at a law firm.
Strong experience independently managing or leading sophisticated transactions.
Demonstrated experience with M&A, joint ventures, equity/debt financing, and general corporate matters .
Experience with real estate joint ventures is highly valued.
Strong drafting and negotiation skills.
Excellent understanding of corporate and transactional law.
Ability to manage multiple matters and deadlines in a fast-paced environment.
Strong business judgment and ability to provide practical legal solutions.
Excellent written, verbal, and interpersonal communication skills.
Demonstrated ability to work directly with clients and develop trusted relationships.
Admission to the New Jersey or New York Bar required.
Compensation & Benefits
Base Salary: $205,000–$235,000 annually , depending on experience and qualifications.
In addition to base compensation, the position offers eligibility for:
Billable-hours bonus
Discretionary bonus
Origination bonus

This position follows a hybrid schedule based out of the firm's Roseland, New Jersey office , providing a combination of in-office collaboration and remote flexibility.
