The Role
The Corporate Paralegal will support attorneys in mergers and acquisitions, venture financing, and general corporate governance. The position combines classic paralegal responsibilities with a modern emphasis on technology, workflow management, and precision.
Key Responsibilities:
Assist with the formation and maintenance of corporations, LLCs, and partnerships.
Draft and manage transactional documents, closing binders, and minute books.
Conduct due diligence and coordinate multi-party closings.
Support attorneys with electronic filings and document organization using leading practice-management tools.
Qualifications
Minimum of 3 years of corporate paralegal experience in a law firm or in-house environment.
Strong understanding of entity formation, UCC filings, and closing logistics.
Detail-oriented, organized, and proactive; thrives in fast-paced, deadline-driven environments.
Bachelor's degree required; Paralegal Certificate preferred.
