Corporate Securities Attorney

A bit about us:
Mid-sized, well-respected Law Firm (60 Attorneys) seeks to add a Corporate Attorney to their team. The ideal candidate will have 3+ years of experience with a Corporate Trust/Securities background. In this position you will be representing financial institutions acting as their corporate trustee (and other agency/fiduciary capacities) in domestic and global financing. As part of this position, you will be responsible for drafting, reviewing/negotiating a variety of corporate documents as well as assisting partners with closings!

Job Details
Requirements:
Licensed to practice law in New York
3 + years of Corporate Trust/Securities experience with a large law firm
Experience in one or more of the following areas is preferred:
Trust Indenture Act qualified transactions
Rule 144A and Reg S offerings
Debt restructurings
Corporate and municipal bond financings
Asset-backed and mortgage-backed securitizations
Insurance linked products
Cross-border transactions
Project finance transactions
Secured high-yield debt transactions
Experience drafting, reviewing and/or negotiating a variety of corporate documents:
Examples: offering documents, indentures, credit agreements, trust agreements, collateral agency agreements, depositary agreements, security agreements, mortgages, control agreements, servicing agreements, administration agreements and ancillary documents thereto.
