The Firm
Our client, a rapidly growing private equity firm, is seeking an Attorney to join its legal and compliance team in San Diego. The attorney will work closely with the GC/CCO, investment team and senior leadership across transactions, fund matters, corporate governance and regulatory issues.

The Role:
This is a broad in-house opportunity for an attorney coming from either an M&A/private equity transactions or private funds/fund formation background who is interested in expanding their experience across the full legal function of a growing private equity firm.
Key responsibilities:
Support platform investments, add-on acquisitions, dispositions and other private equity transactions
Assist with legal due diligence, deal execution and transaction documentation
Support fund formation, fund structuring and ongoing fund-related matters
Work on LP agreements, subscription documents, side letters and other investor documentation
Advise on management company, fund and entity governance matters
Draft and review NDAs, engagement letters and commercial agreements
Manage legal workstreams and serve as a key point of contact for investment professionals, outside counsel, and other service providers
Help build and improve legal processes as the firm continues to grow
Qualifications:
JD required
xzgxqkn Approximately 3–6+ years of relevant legal experience
Strong background in either:
Private equity M&A / corporate transactions, or
Private funds / fund formation
Top law firm training strongly preferred
In-house or investment management experience is a plus, but not required
Strong drafting, negotiation and project management skills
Commercial, collaborative and comfortable working in a lean, fast-paced environment
