Job description

We're seeking a collegial, highly skilled, and forward-thinking attorney to join BNY's Legal team as a Senior Director, Senior Managing Counsel supporting the Clearance & Collateral Management ("CCM") business. This is an exciting opportunity to work at the intersection of law, regulation, market infrastructure, digital assets, and product innovation. This role is available in New York, New York.

The CCM legal team supports a dynamic and rapidly evolving business that sits at the center of major market structure and liquidity initiatives. The team advises on core clearance and collateral products while also supporting new and strategic efforts involving central clearing, digital assets, tokenization, collateral optimization, and next-generation market infrastructure. This role offers the chance to work on highly visible, business-critical projects with significant external client, regulatory, and industry impact.

The ideal candidate is a trusted advisor who thrives in a fast-paced, constantly changing environment. The successful candidate will be able to balance high-volume business-as-usual work with complex strategic initiatives, engage collaboratively across Legal, Compliance, Credit, Risk, Operations, and the business, and contribute to the development of innovative solutions that shape the future of clearing and collateral management.

Fluency with AI, or a strong willingness to build AI proficiency, is important for this role. The team is actively exploring modern legal and business applications of technology, and candidates who are comfortable using AI tools thoughtfully and responsibly to improve efficiency, analysis, and drafting are especially well suited to succeed.

In this role, you'll make an impact in the following ways:

Providing legal and regulatory advice to the Clearance & Collateral Management business across a broad and expanding product set

Serving as a key legal advisor on strategic transactions, regulatory initiatives, corporate projects, and collaborations with internal and external partners

Supporting product development and lifecycle management, including drafting, negotiating, and updating complex documentation

Advising on central clearing, tri-party collateral management, custody, segregation, and related market infrastructure matters

Supporting innovative initiatives involving digital assets, tokenization, distributed ledger technology, and other emerging technologies

Partnering closely with Compliance, Credit, Risk, Operations, Technology, and other legal colleagues to deliver practical, business-oriented advice

Drafting and reviewing policies, procedures, client-facing materials, and thought leadership content

Monitoring legal, regulatory, and market developments and advising the business on evolving requirements and opportunities

Participating in industry working groups and advocacy efforts, including matters involving SIFMA and other relevant forums

Helping drive efficient and scalable legal support in a high-volume environment

Examples of work may include:

Central clearing documentation and regulatory support for multiple central counterparties

Legal support for digital asset and tokenization initiatives

Advising on market infrastructure projects involving clearing, settlement, custody, and collateral movement

Supporting new product launches and enhancements involving AI-enabled workflow changes

Assisting with high-priority projects with aggressive timelines and significant business visibility

To be successful in this role, we're seeking the following:

J.D. and admission to practice law in New York

(8-12) years of experience at a law firm and/or large financial institution

Experience with tri-party arrangements, collateral management, clearance, custody, and related financial market products

Familiarity with clearing agreements, account control agreements, security agreements, MSLA, MRA, ISDA Master Agreements, CSAs, and similar industry-standard documentation

Strong knowledge of securities law, SEC rules, UCC Article 8, and related broker-dealer and investment fund considerations

Familiarity with central clearing, securities finance, derivatives, and evolving regulatory issues in the collateral management space

Experience with or interest in digital assets, tokenization, DLT, or other emerging market infrastructure technologies

Excellent written and verbal communication skills, with the ability to produce clear, concise, and practical legal analysis

Strong drafting, negotiation, and problem-solving skills

Ability to manage multiple priorities in a fast-paced and rapidly changing environment

A highly collaborative, collegial approach and the ability to work effectively across teams

Comfort with technology and a willingness to adopt and improve AI-enabled legal workflows

Preferred qualities:

Intellectual curiosity and enthusiasm for innovative financial market infrastructure

A proactive mindset and strong judgment

Ability to manage ambiguity while maintaining attention to detail

Interest in shaping new products and helping the business navigate novel legal questions

Experience working on highly visible, time-sensitive initiatives with cross-functional stakeholders
